1. Acceptance of Terms

These Terms of Service (“Terms”) are a legally binding agreement between you (“User,” “you,” or “your”) and newscene.ai(“NewScene,” “we,” “us,” or “our”) governing your access to and use of the website located at newscene.ai and all associated services, APIs, and applications (collectively, the “Service”).

By creating an account, clicking “I agree,” or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. The Privacy Policy explains how we handle personal data. Optional analytics and marketing choices are separate from accepting these Terms. If you do not agree, you must not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to both you and that entity.

2. Description of Service

newscene.ai is an AI-powered video creation platform that enables users to generate, edit, and export professional promotional videos using pre-built animated templates, AI content generation, and a browser-based editor built on the Remotion framework.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice. We will use commercially reasonable efforts to provide advance notice of material changes that affect paid subscribers.

3. Accounts & Registration

To access most features you must register for an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.

NewScene is for adults only. You must be at least 18 years old and legally able to enter into this agreement to create an account or use the Service. Accounts are personal and may not be shared or transferred without our prior written consent.

4. Your Content & Ownership

“User Content” means any content you upload, import, input, generate, or create through the Service, including videos, images, audio files, scripts, brand assets, and exported video files. You retain the rights you hold in your User Content. AI outputs may not be unique or eligible for copyright protection, and third-party licenses still apply.

You are solely responsible for your User Content and for ensuring that it does not infringe any third-party rights or violate applicable law. newscene.ai does not review, endorse, or take responsibility for User Content.

AI-generated content: Outputs produced by AI features within the Service are subject to the terms of the underlying AI providers. You are responsible for determining whether AI-generated content is suitable for your intended use and for obtaining any necessary rights or permissions.

5. License You Grant Us

By submitting User Content to the Service, you grant newscene.ai a limited, non-exclusive, worldwide, royalty-free license solely to host, store, process, transcode, display, and transmit your User Content as necessary to provide and improve the Service to you. This license is limited in scope and does not allow us to:

• Sell or sublicense your User Content to third parties.
• Use your User Content for advertising or marketing without your separate consent.
• Claim ownership of your User Content.

This license terminates when you delete your User Content from the Service or close your account, subject to any retention required by law or backup retention policies described in our Privacy Policy.

6. Prohibited Uses

You agree not to use the Service to create, upload, share, or distribute:

• Pornographic or sexually explicit content of any kind, including content that is suggestive, exploitative, or that depicts nudity in a sexual context.
• Offensive, hateful, or harmful material, including content that promotes discrimination, violence, harassment, or hatred based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Content that is illegal under applicable local, national, or international law, including but not limited to content that violates privacy rights, defames individuals, or facilitates illegal activity.
• Misinformation or deceptive content designed to mislead or defraud others.
• Malware or harmful code embedded in exported video files or project assets.
• Automated access to the Service (bots, scrapers) in a manner that imposes an unreasonable burden on our infrastructure.
• Circumventing, disabling, or otherwise interfering with security-related features of the Service.

Violation of these prohibitions may result in immediate suspension or termination of your account and may be reported to law enforcement where required by law.

7. Third-Party Content & Copyright

newscene.ai provides tools; we do not control the licenses of content you choose to incorporate into your projects. You are solely responsible for ensuring you have all necessary rights, licenses, and permissions to use any third-party content — including images, footage, music, fonts, logos, and trademarks — that you upload or incorporate into your videos.

We respect intellectual property rights. If you believe your copyrighted work has been infringed through the Service, send a notice identifying the work and material to:

Your notice must include: (a) a description of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement of good faith belief; (e) a statement of accuracy under penalty of perjury; and (f) your physical or electronic signature.

We review notices and counter-notifications under applicable law and may terminate accounts of repeat infringers. Report other abusive or nonconsensual content to the same contact.

8. Payment & Billing

Certain features of the Service require a paid subscription (“Subscription”). Subscriptions are billed on a recurring basis (monthly or annually) through our payment processor. Before subscribing, review and expressly authorize the displayed price, billing interval, and recurring charges. Subscriptions renew until canceled. One-time token purchases do not create a subscription.

Cancellation

You may cancel your Subscription at any time through your account settings. Cancellation stops future renewal at the end of the current billing period; you retain access to paid features until that date. We do not provide refunds for partial billing periods except where required by law. Account deletion is a separate action: it ends your access and starts removal of your NewScene data, including stopping NewScene subscription renewals. It does not automatically refund previous payments. Statutory refund and withdrawal rights remain available.

Price Changes

We may change subscription prices upon at least 30 days’ advance notice. Continued use of the Service does not waive any right to notice or consent required by applicable law. You can cancel before the changed renewal price takes effect.

Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Service, unless we are required to collect them from you by law.

9. Termination

You may request permanent account deletion through your profile privacy controls. Canceling a subscription alone does not delete your account or content. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

• You breach any provision of these Terms.
• We are required to do so by law or a court order.
• We reasonably believe you are engaging in fraudulent or harmful activity.
• We discontinue the Service.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including but not limited to Sections 4, 7, 10, 11, 12, and 13) will survive.

You may request export of your User Content before closing your account. We will retain your data for a limited period after termination as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

AI-generated outputs may be inaccurate, incomplete, or unsuitable for particular purposes. You are solely responsible for reviewing and validating any AI-generated content before use.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEWSCENE.AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless newscene.ai and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your User Content; (b) your use of the Service in violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) your violation of applicable law.

13. Governing Law & Dispute Resolution

NewScene operates from California. California law governs these Terms except to the extent mandatory laws in your jurisdiction provide otherwise. Please contact us to try to resolve a concern informally. Nothing in these Terms removes mandatory consumer protections or prevents you from using a court or regulator available to you under applicable law.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, notify registered users by email or by a prominent notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree with the new Terms, you must stop using the Service and may close your account.
